1.AGREEMENT TO THE TERMS OF SERVICE

 

You agree that by accessing or using SirfCoffee’s site or services, you have read, understood and expressly agree to be bound by these Terms and Conditions of Use. We strongly recommend that you read this agreement carefully before creating an account with us. For your information, the terms of use provided under this agreement are applicable to anyone who accesses or uses www.sirfcoffee.com regardless of registration and/or subscription status. Your use of our Services is also subject to the Privacy Policy set out by SirfCoffee..

 

You agree to comply with all of the below given terms of use when accessing or using the SirfCoffee’s services.

 

SirfCoffee reserve the right to make any changes or modifications to these Terms and Conditions from time to time and for any reason as may be deemed necessary by us. We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions and you waive any right to receive specific notice of any such changes as may happen from time to time. You understand that it is your responsibility to periodically review these Terms and Conditions to stay informed of the updates, if any. You will be subject to, and will be deemed to have been made aware of, to have accepted and be legally bound by the changes in any revised Terms and Conditions by your continued use of the SirfCoffee’s services after the date such revised Terms are posted on www.sirfcoffee.com.

 

2. ELIGIBILITY AND WARRANTIES

 

You by requesting to use, registering to use or by using our services confirm and warrant that:

 

You are above 18 years of age

You are capable and legally eligible to enter into this binding agreement with SirfCoffee and have the legal capacity to abide by all of the terms and conditions set out in this Agreement.

You warrant that you are single, legally divorced and/or your marriage has been duly annulled by a relevant court of law.

You have not been criminally convicted for any offence whatsoever.

You have not been previously removed by SirfCoffee from using our services for the breach of this or any other contract with SirfCoffee.

 

The user understands and accepts SirfCoffee’s sole discretion and right to either accept or deny any user’s request for membership. The user further acknowledges and accepts that SirfCoffee reserves the right not to disclose the reason for such refusal or acceptance of any such request for membership by the user.

 

d. Withdrawing Your Consent. You have the right at any time to withdraw your consent to have this Agreement provided to you in electronic form.

 

3.CONDITIONS TO USE SIRFCOFFEE’S SERVICES

 

The user by requesting to use, registering to use or by using our services agrees to the following conditions set forth by SirfCoffee:.

 

a) Exclusive Personal Use -The services provided by SirfCoffee are strictly for a member’s personal use only. At no point, the members can transfer, assign or authorize any third party for such use of the service.

 

b) Unauthorized Use -Any unauthorized use of the services is strictly prohibited and appropriate legal measures including but not limited to civil and criminal actions, will be taken in case of breach by the defaulting member in consonance with the applicable laws and regulations.

 

C) Accuracy of Information provided by the User -The user confirms and warrants that the detail and/or personal information provided by him/her is true, accurate and complete. In case any information provided by the user to SirfCoffee turns out to be incorrect, the user agrees and understands that he/she will be solely responsible for such inaccuracies and undertakes to take entire liability for any such incorrect information provided by him/her (which is shared with other users of the SirfCoffee services) and for any consequences thereafte.

 

d) User Registration – The user will be required to register for availing SirfCoffee’s paid services. The user agrees to keep their password confidential and will be responsible for use of their account and password. SirfCoffee in its sole discretion, reserves the right to remove, reclaim, or change a username that the user selects such username is inappropriate, obscene, or otherwise objectionable.

 

e) Risk Acknowledgment and Safety Measures – The User agrees that he/she recognizes all risks associated with any interactions with other users whether offline or online, including but not limited to communications over phone or messages, in person meetings etc. and understands that the responsibility lies with the user to undertake due measures to keep himself/herself safe against any such risks. The user also agrees to use his/her best judgement and to take all necessary precautions during such offline or online interactions with other users. The user also agrees and understands that he/she is solely responsible for any outcome from such interactions with other users.

 

d) User Registration – The user will be required to register for availing SirfCoffee’s paid services. The user agrees to keep their password confidential and will be responsible for use of their account and password. SirfCoffee in its sole discretion, reserves the right to remove, reclaim, or change a username that the user selects such username is inappropriate, obscene, or otherwise objectionable.

 

4. USER RESPONSIBILITIES

 

The user agrees that he/she will not misrepresent or provide incorrect information about them

The user agrees to treat other users in respectful and courteous manner during both online and/or offline interactions.

The user agrees not harass, abuse, assault, intimidate, harm, defame or otherwise mistreat other users of SirfCoffee.

The user agrees not to troll, stalk, threaten, post, share write any objectionable, obscene or any unappreciated content to any other user they meet through SirfCoffee including but not limited to content communicated through text messages, any messenger apps, emails, calls and social media accounts etc.

The user agrees not to use SirfCoffee’s services through unauthorized access.

The user agrees not harass, abuse, assault, intimidate, harm, defame or otherwise mistreat any of SirfCoffee’s representatives..

The user agrees not to solicit, advertise or sell to any other user any third party product or services.

The user agrees not to use any information obtained from SirfCoffee services in order to contact, advertise, solicit or sell to any other user any third party product or services.

The user agrees not indulge into any kind of monetary transactions with other users. Any such transactions if done will be solely at the user’s risks and SirfCoffee will not be liable or responsible for anything whatsoever including but not limited to any kind of frauds.

The user agrees that he/she will not use the services for any illegal or unauthorized purpose.

The user agrees not to impersonate another user or person or use the username of another user.

The user agrees not to sell or otherwise transfer his/her profile to any third party or an unauthorized person.

The user agrees and confirms that his/her use of the Services will not violate any applicable laws or regulations.

The user agrees not to replicate, copy, duplicate, facsimile the content of the SirfCoffee’s services, website or any other platform provided by SirfCoffee.

 

If SirfCoffee discovers or becomes aware of any such violations of the above set out responsibilities, your membership with SirfCoffee will be terminated with immediate effects and the termination will be without any refund and any liability on SirfCoffee whatsoever. Such termination of the membership by SirfCoffee shall be final and binding.

 

5.SIRFCOFFEE LIABILITY

 

SirfCoffee has no control over the accuracy and correctness of user’s details and other information shared by the users while creating an account with SirfCoffee

SirfCoffee doesn’t conduct any intrusive background checks to verify the information shared by the users since SirfCoffee duly acknowledges and respects their right to privacy and shall not be in any way held liable for inaccuracies, if any.

SirfCoffee will not be responsible for the user’s interaction with other users or for their conduct, behavior or actions.

SirfCoffee doesn’t carry out any background checks and makes no warranty or representation about the marital status or mental state of any user/member.

The user must always take sensible precautions before agreeing to meet with another user including arranging any meeting in a public place, not sharing personal information until comfortable doing so, informing the near and dear ones about the meeting and so on.

SirfCoffee has no obligation and/or responsibility to arbitrate, monitor, resolve or mediate in any disputes arising between the users. The users are solely responsible for their interactions with other users of the service.

SirfCoffee shall not be responsible for and/or liable any loss or damage to any individual arising out of, or subsequent to, relations established pursuant to the use of the services.

 

6.NO GUARANTEE

 

SirfCoffee’s objective is to provide you with a pressure-free, personalized approach to dating and organize offline dates with the handpicked matches based on your preferences. Howexver, every user may not be able to find an ideal match through our services. The user fully understands and accepts that SirfCoffee doesn’t guarantee, either expressly or impliedly, directly or indirectly regarding user’s compatibility with the suggested matches that a user meets through SirfCoffee’s services or as to their behavior, conduct, manners, activities and so on.

 

7.PROHIBITED ACTIVITIES

 

The user agrees that he/she will not access or use the services for any purpose other than that for which we make the services available. The services provided by SirfCoffee will and shall not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by SirfCoffee.

 

As a user of the SirfCoffee services, you agree not to:

 

Make any unauthorized use of the services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.

Systematically retrieve data or other content from www.sirfcoffee.com to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from SirfCoffee.

Circumvent, disable, or otherwise interfere with security-related features, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the services and/or the content contained therein.

Engage in unauthorized framing of or linking to the site.

Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.

Use the services as part of any effort to compete with us or otherwise use the services and/or the Content for any revenue-generating endeavor or commercial purpose.

Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of SirfCoffee.

Attempt to bypass any measures designed to prevent or restrict access to the services.

Delete the copyright or other proprietary rights notice from any Content.

Copy or adapt any SirfCoffee’s software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.

Upload, transmit or attempt to upload, transmit any viruses, Trojan horses, or other material that interferes with any uninterrupted use and enjoyment of the service or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the site.

Upload, transmit or attempt to upload, transmit any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats (“gifs”), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as “spyware” or “passive collection mechanisms” or “pcms”).

Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the service, or using or launching any unauthorized script or other software.

Disparage, tarnish, or otherwise harm, in our opinion, SirfCoffee and/or the service provided by SirfCoffee.

Use the Platform in a manner inconsistent with any applicable laws or regulations.

 

The uploading or sharing of content that violates these terms (“Prohibited Activities”) may result in the immediate suspension or termination of your account.

 

8. INTELLECTUAL PROPERTY RIGHTS

 

www.sirfcoffee.com is the proprietary of KSH International LLC and all source code, databases, functionality, software, web platform designs, audio, video, text, photographs and graphics on www.sirfcoffee.com (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by or licensed to KSH International LLC. Also, the said Content and Marks are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of England & Wales, foreign jurisdictions, and international conventions. The Content and the Marks are provided on “AS IS” basis for your information and personal use only.

 

Except as expressly provided in these Terms of Use, no part of www.sirfcoffee.com and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

 

In accordance to this agreement, SirfCoffee grants the users a limited right to access and use the services solely for the personal, non-commercial use. We reserve all other rights not expressly granted to you by SirfCoffee with regard to its Services, Content and the Marks.

 

9.SERVICE SUPERVISION

 

SirfCoffee reserves the right but is not under any obligation to:

 

Monitor the violations of these Terms of Use by any user.

Take appropriate legal actions against users who, in our sole discretion, violate the law or these Terms of Use, including without limitation, reporting such users to law enforcement authorities.

In our sole discretion and without limitation, refuse, restrict or disable access to our service or any part thereof.

Otherwise manage its services in a manner aimed to protect SirfCoffee’s rights and property and to facilitate the proper functioning of the services provided therein.

 

10. CONFIDENTIALITY AND DATA PROTECTION

 

We care about your data privacy and security, thus, we process and protect your Personal Data in accordance with GDPR guidelines. By agreeing to these terms of use, you approve the processing of your personal information (including any sensitive personal information) by SirfCoffee for the purposes of providing you a) the services, b) Communicating with you and for marketing; c) For statutory and accounting purposes; and d) for any other purpose mentioned in the Privacy Policy.

In addition, we may also disclose your Personal Data to our employees, consultants, representatives, agents and any affiliates to the extent necessary to provide you the services. .

11.TERM AND TERMINATION

 

These Terms of Use shall remain in full force and effect while you use the SirfCoffee’s services. Without limiting any other provision of these terms of use, we reserve the right to, in our sole discretion and without notice or liability, deny access to and use of the services (including blocking certain IP addresses), to any person for any reason or for no reason, including without limitation for breach of any provision contained in these terms of use or of any applicable law or regulation. We may terminate your use or membership or delete your account and/or any content or information that you provide at any time, without warning, in our sole discretion. If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.

 

In case of termination or suspension of account, SirfCoffee is under no obligation to give any cause, details, justification or reasoning to any user so affected by such termination or suspension.

 

12.MEMBERSHIP, CANCELLATION AND REFUND

 

The users are required to pay in advance the prescribed fee for the availing the membership plans.

For all membership plans, there is a twenty-eight (28) day cooling off period, within which a user may claim a full refund. For the purpose of this clause, twenty-eight (28) day period commences as soon as the membership begins, upon SirfCoffee’s acceptance of a new membership, or renewal.

In case, the user chooses to cancel or terminate his/her membership at any point after initial twenty-eight (28) day cooling off period, the user will not be entitled to any refund.

If SirfCoffee terminates, suspends or denies access to the user’s account for breach of these Terms of Use or for any other reason, the membership fee paid will be non – refundable.

 

13.INDEMNIFICATION

 

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, directors and all of our respective officers, agents, partners, consultants, representatives and employees, from and against any loss, damage, liability, claim, complaint or demand, including reasonable attorney’s fees and expenses, made by any third party due to or arising out of:

 

Your use of the services;

Content you submit, post, transmit or otherwise make available through the Service;

Breach of these Terms of Use by you;

Any breach of your representations, responsibilities and warranties set forth in these Terms of Use;

Your violation of the rights of a third party, including but not limited to intellectual property rights;

Any overt harmful act toward any other user with whom you connected via the services.

 

The Limitation of Liability and Indemnity clause shall survive these Terms of Use and your use of the SirfCoffee’s site and services.

 

14.CORRECTIONS

 

There may be information on www.sirfcoffee.com that may contains typographical errors, inaccuracies, or omissions that may relate to the services, including descriptions, pricing, availability and other related information. We reserve the right to correct any such errors, inaccuracies or omissions and to change or update the information on www.sirfcoffee.com at any time without prior notice.

 

15.GOVERNING LAW

 

These Terms of Use and your use of the services are governed by and construed in accordance with the laws of, and is subject to the exclusive jurisdiction of the courts of England and Wales.

 

16.DISPUTE RESOLUTION

 

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a "Dispute" and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least forty five (45) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. The arbitration shall be commenced and conducted under the Arbitration Act, 1996 applicable in England and Wales. The parties agree that the arbitral award given by such arbitration panel shall be final and binding upon the parties.

In no event shall any Dispute brought by the user related in any way to the Services provided by SirfCoffee be commenced more than six (06) months after the cause of action arose.

 

17.SEVERABILITY

 

In the event that any provision of this Agreement is held to be invalid, illegal and/or unenforceable in the court of law the validity, legality and/or enforceability of the remaining provisions shall not be affected and/or impaired thereby.

 

18.WAIVER

 

Unless stated otherwise, any failure or delay in exercising a right or remedy under this agreement, shall not by any means constitute waiver of such right or remedy or waiver of any other rights or remedies given under this agreement. In addition, any partial exercise of a right or remedy shall not prevent any further exercise of such right or remedy or of any other rights or remedies given under this agreement.

 

19.ASSIGNMENTS

 

SirfCoffee may at any time, assign in part or in whole, any or all of its rights, obligations under this agreement to its affiliates or any other third party or company, pursuant to change of its ownership or control by way of merger, sale, acquisition, divestiture, restructuring, reorganization, dissolution, bankruptcy or any other form of change in its legal status.

14. Modifications to Service

 

20.ENTIRE AGREEMENT

 

This Terms of Use, Privacy policy and any other policies set out by us from time to time shall constitute and comprise the entire agreement between the user and SirfCoffee regarding the use of SirfCoffee’s services and site.

This Agreement supersedes any prior agreements between the user and SirfCoffee regarding the use of SirfCoffee’s services and site, including but not limited to any prior version of this User Agreement

 

21.NOTICES

 

All notices, requests, claims, demands, waivers and any other communications required to be given by the user to SirfCoffee under the agreement must be forwarded to info@sirfcoffee.com. In case of any such notices, requests, claims, demands, waivers and any other communications from SirfCoffee to the user, it shall be forwarded to the address registered by the user with SirfCoffee.

 

22.DISCLAIMER

The access to the site and services by SirfCoffee is provided on an as-is and as-available basis. The user agrees that his/her use of the services will be at their sole risk. To the fullest extent permitted by law, SirfCoffee disclaims all warranties, express or implied, in connection with the services and the user’s use thereof.

 

23.MISCELLANEOUS

 

These Terms and Conditions shall survive even in the event of termination of the service by the user or such termination, denial of access or suspension of user account by SirfCoffee.

We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any reason beyond our reasonable control.
